Zonefold Terms of Service
Last updated: October 13, 2026
These Terms govern access to and use of Zonefold (the "Service"), provided by Nuromind Inc., a Texas corporation, 5900 Balcones Drive #8495, Austin, TX 78731 ("Zonefold", "we"). By creating an account, accepting an invitation, or using the Service on behalf of an organization, you agree to these Terms for yourself and that organization ("Customer"). If you do not have authority to bind the organization, do not use the Service.
1. The Service
Zonefold is software for operating heating, ventilation and air-conditioning (HVAC) systems across multiple buildings. It reads data from thermostats and related equipment that the Customer already uses (currently Pelican Wireless systems), analyzes it, and presents dashboards, incidents, estimates and suggestions.
Zonefold is independent software. It is not affiliated with, endorsed by, or supported by Pelican Wireless Systems. Pelican is a trademark of its owner.
2. Accounts and access
- Account holders: each person signs in with their own credentials. Do not share credentials.
- Organization Owners and Admins: they are responsible for who they invite, the roles and scopes they grant, and removing people who should no longer have access.
- Contractors: a Customer may give an outside contractor organization scoped, time-limited access. The Customer remains responsible for that grant.
- Security of your account: you must keep your login and multi-factor authentication secure, and tell us promptly at support@zonefold.com about any unauthorized use.
3. Connecting equipment accounts
To connect a site, an authorized administrator of that site's Pelican account provides credentials for a user created for Zonefold. You confirm that you are authorized to do so. - How we use them: to read data. We store them encrypted and use them only to provide the Service. - Read-only: during the current offering, Zonefold does not send commands to equipment. If control features are offered later, they will require explicit enablement, human approval, and additional terms.
4. Suggestions, estimates and AI features
Insights, energy and cost figures, forecasts and AI-generated drafts are estimates and suggestions, labelled as measured, inferred or modelled. - No guarantees: they may be incomplete or wrong. They do not replace a qualified HVAC professional's judgment, and nothing in the Service is a guarantee of comfort, safety, equipment condition, energy savings or regulatory compliance. - Safety: you remain responsible for decisions about your buildings, occupant safety and equipment maintenance.
5. Acceptable use
You will not: - access other customers' data; - probe, scan or test the Service's security without written permission; - use the Service to test credentials you are not authorized to use; - interfere with the Service or exceed published limits; - reverse engineer it except where the law allows; - use it in violation of law or third-party terms, including your equipment vendor's terms.
6. Customer data
- Ownership: as between the parties, the Customer owns the data it provides or that is collected from its equipment ("Customer Data").
- Our use: we process Customer Data to provide, secure and improve the Service, as described in the Privacy Policy.
- Aggregated data: we may use aggregated, de-identified data that does not identify the Customer, its sites or any person.
- Retention: detailed readings are retained for the period in the Customer's plan (default 7 days). Summaries and incidents are kept longer, as described in the Service.
- Export and deletion: on termination, the Customer may request export within 30 days. After that, we delete Customer Data per our retention schedule, except where the law requires otherwise.
7. Plans, fees and trials
- Plans: free plans have limits (for example, number of sites, devices and members). Paid plans, add-ons such as longer history and single sign-on, and fees are described at purchase.
- Billing: fees are billed in advance and are non-refundable except where required by law. Past-due accounts may become read-only after a 7-day grace period.
- Billing never changes equipment: we never change equipment settings because of a billing status.
8. Availability and changes
We aim for high availability but do not guarantee uninterrupted service unless a separate service-level agreement applies. Data depends on the equipment vendor's systems, which may be unavailable or delayed. We may change the Service and will give notice of material adverse changes.
9. Confidentiality and security
Each party protects the other's confidential information with reasonable care. We maintain administrative, technical and physical safeguards appropriate to the Service, including the following: - encryption of stored equipment credentials; - per-organization data isolation enforced in the database; - audit logging.
10. Warranties and disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONEFOLD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR DATA. EACH PARTY'S TOTAL LIABILITY IS LIMITED TO THE FEES PAID BY THE CUSTOMER IN THE 12 MONTHS BEFORE THE CLAIM (OR US$100 FOR FREE PLANS). THESE LIMITS DO NOT APPLY TO A PARTY'S INDEMNITY OBLIGATIONS, BREACH OF CONFIDENTIALITY, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
12. Indemnity
Customer will defend and indemnify Zonefold against third-party claims arising from credentials or equipment access the Customer was not authorized to provide, or from the Customer's misuse of the Service. Zonefold will defend and indemnify the Customer against third-party claims that the Service, as provided by Zonefold, infringes that party's intellectual property rights. The indemnified party must give prompt notice and reasonable cooperation, and the indemnifying party controls the defense.
13. Term and termination
Either party may terminate for convenience on 30 days' notice, or immediately for material breach not cured within 15 days. We may suspend access to protect the Service, other customers, or to comply with law.
14. General
- Governing law: Texas, USA, without regard to conflict-of-laws rules. Venue: the state and federal courts located in Travis County, Texas.
- Assignment: neither party may assign without consent, except to a successor in a merger or acquisition.
- Entire agreement: these Terms, the Privacy Policy and any order form are the entire agreement.
